In California and other community property states, carried interest earned during marriage is community property. Both spouses have a legal claim to it. But having a claim and knowing what to do with it are very different things.

This guide covers your practical options — what you can do with community property carry, what restrictions exist, and how to think about each path.

Option 1: Keep it in the fund (distribution tracking)

The simplest approach: the carry stays in the fund, and the out-spouse receives their community property share of each distribution as it arrives.

How it works: A court order or settlement agreement specifies that the out-spouse receives X% (typically 50% in CA) of each carry distribution, net of taxes, as distributions are paid by the fund.

Pros:

No need to value carry today — avoids the hardest fight in carry divorce
Out-spouse participates in upside if fund performs well
Simple to implement — fund distributes, in-spouse pays out-spouse’s share

Cons:

Creates ongoing financial relationship between ex-spouses (sometimes for 10+ years)
Out-spouse has no control over timing or investment decisions
Requires trust that in-spouse will report distributions honestly
Tax treatment can be complex (who pays the tax on whose share?)

Best for: Cases where carry is significant but difficult to value, and both parties are willing to maintain a financial relationship.

Option 2: Lump-sum offset

Value the carry today and offset it against other marital assets. The out-spouse receives liquid assets (cash, real estate equity, retirement accounts) equal to their share of carry.

How it works: A forensic accountant values the carry. The parties agree (or a court decides) on a present value. The in-spouse keeps all the carry; the out-spouse gets equivalent value in other assets.

Pros:

Clean break — no ongoing financial relationship
Out-spouse receives liquid, certain value
Avoids the risk that carry underperforms expectations

Cons:

Requires agreement on present value — the most contentious issue in carry divorce
Out-spouse may accept a discount (illiquidity + uncertainty = lower present value)
If carry later massively outperforms the agreed value, out-spouse loses upside
In-spouse may not have enough liquid assets to offset

Best for: Cases where both parties want a clean break and have sufficient other assets for the offset.

Option 3: Secondary market sale

Sell the carry interest (or a portion of it) on the secondary market. Platforms like Forge Global, Hiive, and EquityZen facilitate these transactions.

How it works: The carry interest is offered on a secondary marketplace. A buyer purchases it at a discount to estimated fair value. Proceeds are divided between spouses.

Pros:

Converts illiquid carry into immediate cash

Cons:

Significant discount (20–40% from estimated fair value)
Fund transfer restrictions may prohibit or complicate the sale
Right of First Refusal (ROFR) gives the fund the option to block or match
Limited market for individual carry positions (vs. LP interests)
Tax consequences of the sale must be carefully structured

Best for: Large, late-stage carry positions where both parties want liquidity and the discount is acceptable relative to the uncertainty of waiting.

Option 4: Transfer to a trust

Transfer the out-spouse’s community property share into a trust for their benefit.

How it works: The carry is divided, with the out-spouse’s portion transferred to a trust. The trust holds the carry and receives distributions as they arrive.

Pros:

Estate planning benefits (carry grows outside the out-spouse’s taxable estate)
Professional trust management
Asset protection from creditors

Cons:

Fund must permit the transfer (check LPA)
Trust administration costs
Complexity of splitting carry at the fund level
Some funds refuse to have two carry holders for a single allocation

Best for: High-value carry positions where estate planning benefits justify the complexity.

Option 5: Hybrid approach

Many settlements use a combination of approaches:

Lump-sum offset for realized carry and near-term distributions
Distribution tracking for unrealized carry with uncertain timing
Buyout provisions that give the in-spouse the option to buy out the out-spouse’s share at specified intervals

This hybrid approach addresses the core tension: some carry is relatively certain and can be valued today, while other carry is speculative and is better handled through distribution tracking.
