Step 1: The vesting schedule discovery

What is a vesting schedule?

Carried interest is almost never fully awarded on day one. Instead, it vests over time — typically over 3 to 5 years. A fund professional might be allocated 2% of the fund’s total carry pool, but only 25% of that allocation vests each year. If they leave before full vesting, they forfeit the unvested portion.

How to find the vesting schedule

The vesting schedule lives in the Limited Partnership Agreement (LPA) and the individual’s carry allocation letter or participation agreement. These are the documents your attorney needs to request during discovery. Specifically, look for:

The carry allocation percentage — what share of the fund’s total carry pool is allocated to your spouse
The vesting timeline — when each tranche vests (cliff vesting vs. graded vesting)

Why vested vs. unvested matters

In community property states, the key question is: when did each tranche vest? Carry that vested during the marriage is generally community property. Carry that vests after separation may be separate property — but this is where it gets complicated, because the work that earned that carry may have been performed during the marriage.

Consider a composite example: A principal at a mid-market fund was allocated carry in Fund III that vests over four years. The couple separated after year two. Half the carry is clearly vested community property. But the unvested half? Your forensic accountant will need to analyze whether a time-rule apportionment applies to capture the community’s contribution to that unvested carry.

Step 2: Keyman provisions

The keyman clause (sometimes called “key person”) is one of the most overlooked provisions in carry valuation — and it can dramatically affect value.

What it is

A keyman provision names specific individuals whose continued involvement is essential to the fund’s operation. If a keyman departs, the fund may be required to stop making new investments, return uncommitted capital to LPs, or even wind down.

Why it matters for divorce

If your spouse is a keyman, their carry is more secure — the fund literally can’t function without them, which means they’re unlikely to be pushed out. If your spouse is not a keyman, their position (and carry) is more vulnerable to fund politics and management changes.

Conversely, if a keyman other than your spouse departs, it could trigger fund restrictions that reduce the value of everyone’s carry. This is a real risk factor that affects valuation.

What to ask

Is your spouse named as a keyman in any fund’s LPA?
Who are the other keymen, and are any of them at risk of departure?
What happens to carry allocations if a keyman event occurs?

Step 3: Employment agreement review

The employment agreement (or offer letter, or partnership agreement) is separate from the LPA and carry allocation letter. It governs the employment relationship, not the fund economics — but it contains provisions that directly affect carry value.

What to look for

Non-compete clauses: If your spouse can’t work at a competing fund for 12-24 months after departure, that affects their earning power and negotiating leverage during divorce.
Non-solicitation clauses: Restrictions on recruiting colleagues or contacting fund investors.
Clawback provisions: Can the fund reclaim previously distributed carry? Under what circumstances? This affects the reliability of past distributions as a predictor of future value.
Garden leave provisions: Is your spouse paid during any post-departure non-compete period?
Termination provisions: What constitutes “cause” for termination? What happens to carry if your spouse is terminated for cause vs. without cause vs. resigns voluntarily?

A composite example: A managing director’s employment agreement included a “good leaver / bad leaver” distinction. A “good leaver” (terminated without cause, resignation with notice) kept all vested carry. A “bad leaver” (cause termination, resignation without notice) forfeited everything — even vested carry. Step 6: Working with your attorney and forensic accountant

Carried interest cases require specialized expertise. A general family law attorney and a standard CPA are not enough.

Your attorney

Your family law attorney needs to understand — or be willing to learn quickly — the mechanics of fund economics. Specifically, they need to:

Know what documents to subpoena. The LPA, carry allocation letters, side letters, employment agreements, management company operating agreements, K-1s for all fund entities, capital call notices, distribution notices, and quarterly fund reports.
Understand the timeline. Carry cases often involve multiple funds at different stages. Fund I might be fully harvested while Fund IV is still in its investment period. Each fund requires separate analysis.
Anticipate valuation disputes. The other side will likely argue that carry is speculative and should be discounted heavily. Your side needs to be prepared with probability-weighted models and comparable transaction data.

Your forensic accountant

This is arguably the most important hire in a carry divorce case. A good forensic accountant will:

Build a fund-by-fund model of expected carry distributions
